1. Agreement to Terms

By accessing or using Power Coach (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Power Coach is owned and operated by Power Coach Pty Ltd, an Australian company.

2. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Service for your personal or internal business purposes
• Use the Service to capture, analyze, and manage sports coaching data
• Access AI-generated insights and recommendations for your team

This license does not include the right to:

• Modify or copy the Service
• Use the Service for any commercial purpose without our permission
• Attempt to decompile or reverse engineer any software
• Remove any copyright or proprietary notations

3. User Accounts

To use certain features of the Service, you must register for an account. When you register:

• You must provide accurate, complete, and current information
• You are responsible for maintaining the security of your account
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use
• You must be at least 18 years old or have parental consent

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Subscription and Payment

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis.

Billing and Renewal

• Subscriptions automatically renew unless cancelled
• You can cancel your subscription at any time through your account settings
• No refunds for partial months of service

Fee Changes

We may modify our fees upon 30 days notice. Your continued use of the Service after the fee change constitutes agreement to pay the modified fee.

5. Prohibited Uses

You may not use our Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To interfere with or circumvent the security features of the Service
• To scrape, spider, or crawl any part of the Service
• To use the Service to compete with us or create a similar service

6. Content and Data

Your Content

You retain all rights to the data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a license to use, modify, perform, display, reproduce, and distribute Your Content solely for the purpose of providing the Service.

AI Training

We may use anonymized and aggregated data from the Service to improve our AI models. This data cannot be traced back to you or your team.

Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation to you.

7. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Power Coach Pty Ltd and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Privacy

Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will function uninterrupted, secure, or available at any time
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

10. Limitation of Liability

IN NO EVENT SHALL POWER COACH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the past twelve months.

11. Indemnification

You agree to defend, indemnify, and hold harmless Power Coach and its licensees, licensors, employees, contractors, agents, officers and directors from any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third party right
• Any claim that Your Content caused damage to a third party

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Melbourne, Australia.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
